Joatani

Terms of Use

Last updated: October 23, 2026 · Effective: October 23, 2026

These Terms of Use (the “Terms”) are an agreement between you and Joatani Inc., a Delaware corporation (“Joatani,” “we,” “us”). They govern your use of joatani.com, openhouse.joatani.com, the Joatani web application and the Joatani open house sign-in tool, including the public pages it creates (the “Services”). They replace our Terms of Service dated October 21, 2026. If you accepted those earlier terms, these Terms apply to you from November 22, 2026, and the earlier terms apply until then.

By creating an account, accepting an invitation, buying a license or otherwise using the Services, you agree to these Terms. If you use the Services for a brokerage, team or other organization, you also agree to them on its behalf and confirm that you have the authority to do so. If you do not agree, do not use the Services. Our Privacy Policy and Cookie Policy explain how we handle personal information.

These Terms have three parts. Part A applies to everyone. Part B adds terms for real estate agents, brokerages and teams. Part C covers disputes and general terms.

These Terms include an arbitration agreement and a class action waiver (Section 25) that change how disputes between you and Joatani are resolved. You can opt out of arbitration within 30 days, as Section 25 explains.

Part A: Terms for all users

1. Who can use the Services

You must be at least 18 years old and able to form a binding contract. The Services are intended only for use in the United States. Accounts are for real estate professionals and the people who work with them; members of the public may use open house sign-in pages and public listing pages without an account. You may not use the Services if we have suspended you or if the law does not allow you to use them.

2. Your account

  • Give us accurate information when you sign up and keep it current, including your name, phone number and license details.
  • Keep your password confidential and do not share your account. You are responsible for what happens under it. Tell us right away if you think someone has used it without your permission.
  • You must verify your email address before you can sign in. We may delete an account that is not verified within 30 days of sign-up.
  • We send account and service messages, such as verification and password reset emails, to your account email address.

3. Licenses, fees, renewals and trials

Licenses. Most of the Services require an active license, on the terms we offer when you buy or are given access, including through an organization. If your license ends, licensed features stop working, including your public pages. We keep your information as described in our Privacy Policy, Section 4, and you can use it again if you reactivate your license before it is deleted. Your license, and any code we give you to activate it, is for your own use. Do not sell, publish or share it unless we agree in writing.

Fees and taxes. If you pay for a license, the price, payment terms and any refund terms are those shown when you buy or in your order form. You are responsible for applicable taxes. Unless your order says otherwise or the law requires a refund, fees are non-refundable.

Automatic renewal. Unless your order says otherwise, licenses do not renew automatically. If we offer a plan that renews automatically, before you buy we will clearly tell you that it renews, how often, the price and how to cancel, and we will ask for your express consent. We will then confirm those terms in a form you can keep. For plans that renew yearly, we will remind you 15 to 45 days before each renewal. If the price or another material term of your plan changes, we will tell you at least 7 and no more than 30 days before the change takes effect. You will be able to cancel online, and you can always cancel by emailing privacy@joatani.com. Cancellation takes effect at the end of the period you have paid for.

Trials and early access. We may offer free, trial or early access, for example after approving a request for access. It lasts for the period we tell you, and we may change or end it at any time. It becomes a paid plan only if you agree to that, and if it will, we will remind you before you are charged, as the law requires.

Mistakes and fraud. We may revoke a license that was issued by mistake, obtained by fraud, or used in breach of these Terms or your order.

4. Organizations and sharing

  • You can create or join organizations, such as a brokerage or team. Members of an organization can see each other’s names, email addresses and profile photos, and its owners and admins manage its members and any licenses it provides to them. A license provided through an organization ends if the organization ends it, if you leave or are removed, or if the organization is deleted. Unused license time held by a deleted organization is lost.
  • You can share a listing with other people, directly or through an organization, including people who join that organization later. Depending on the access you give them, they can see the listing’s visitors, including their contact details, answers, scores, notes and follow-up status, export them, change the listing, and delete visitors or the listing.
  • You are responsible for whom you give access to. If you transfer a listing, the new owner controls it. Section 23 explains what happens when you leave an organization.

5. Your content and public pages

You keep ownership of what you put into the Services, including listing details, photos, questions, notes, logos and your profile (“Your Content”). You give Joatani a worldwide, non-exclusive, royalty-free license to host, store, copy, process, adapt (for example, resize images), display and transmit Your Content to provide and improve the Services. This includes showing it on the public pages you publish and in the materials you produce, and using it for backups, security and support. This license ends when Your Content is deleted from the Services, except for copies in backups until they are overwritten and copies that you, or people you gave access to, exported or shared.

You confirm that you have the rights Your Content needs, including permission from the photographer, listing broker or MLS for listing photos, and that publishing it does not violate anyone’s rights, the law or MLS rules.

Public pages. While a listing is open, anyone with its link or code can see its public pages, including the listing’s address, details and photo, and the name, photo, contact and license details, brokerage and branding you show on them. A shared link may show a preview with the listing’s details and photo. Profile photos and logos can be seen by anyone who has their link. Browsers and others may keep copies of published images for a while after you remove them.

6. AI features

Some features use, or will use, artificial intelligence to produce drafts, summaries, suggestions, scores and other output (“AI Output”).

  • AI Output can be inaccurate, incomplete or out of date, and similar output may be given to other users. Review it before you rely on, publish or send it.
  • You are responsible for the AI Output you use, including making sure that listing descriptions and marketing are accurate, are not discriminatory and follow real estate advertising rules.
  • If you use the Services to digitally alter a listing photo, or to show a 3D model with changes to the property, for example by adding, removing or changing features, you must disclose that the image has been altered and make the unaltered image available, as California Business and Professions Code section 10140.8 requires.
  • Do not enter information a feature does not need, such as Social Security numbers, financial account numbers or health information.
  • Scores, rankings and labels are automated estimates, not facts about a person (see Section 19).
  • Our AI providers process your content as our service providers and may not use it to train their models (Privacy Policy, Section 7). As between you and Joatani, AI Output generated from Your Content is treated as Your Content.

7. Text messages from Joatani

If you opt in, Joatani will send recurring automated marketing texts about the Services to the number you give us. Consent is not a condition of purchase. Message frequency varies, and message and data rates may apply. Reply STOP to cancel, or tell us in any other reasonable way. Reply HELP, or email privacy@joatani.com, for help. Carriers are not liable for delayed or undelivered messages. If you change or give up your number, tell us so we do not text the new holder. Our Privacy Policy, Section 6, explains how we handle your number.

8. Open house visitors

If you sign in at an open house or submit information on a listing’s public page, the information goes to the agent or brokerage hosting it, and their privacy policy governs it. Joatani runs the tool for them. Only submit information about yourself, or about someone else, such as your agent, if you have their permission. Joatani is not your real estate agent or broker. Any arrangement you make with an agent, brokerage, lender or other provider is between you and them.

10. Acceptable use

You agree not to:

  • break the law or violate anyone’s rights, including fair housing, privacy, anti-spam, telemarketing and real estate advertising laws;
  • collect information from visitors without the notices and consents the law requires, use it in ways they would not expect, or sell it;
  • use the Services to give, accept or split any fee, kickback or other thing of value for referring settlement service business, in violation of RESPA or California law;
  • ask sign-in questions, or use AI features, in a way that discriminates or seeks information about characteristics protected by fair housing law;
  • upload content you do not have the right to use, or content that is unlawful, misleading, defamatory, harassing or discriminatory;
  • misrepresent who you are, your license or your brokerage, or impersonate anyone;
  • access accounts, listings or data you are not authorized to access;
  • probe, scan or test the security of the Services, or get around their security or access controls;
  • scrape, crawl or overload the Services, or interfere with how they work;
  • upload malware or other harmful code;
  • copy, modify or reverse engineer the Services, or use them to build a competing product, except as the law allows; or
  • resell, sublicense or rent the Services or your access to them without our written permission.

11. Feedback

If you send us ideas, feature requests or other feedback, we may use them without any obligation to you. Feature requests reach our team by email, with your name and email address.

12. Third-party services and listing data

The Services link to and work with services we do not control, such as social networks, map apps, Sponsors’ sites and email providers. Your use of them is governed by their own terms, and to the extent permitted by law we are not responsible for them. If you import or display listing data from an MLS or another source, you must follow that source’s rules, including its display rules.

14. Suspension and termination

You can stop using the Services at any time. To close your account, email privacy@joatani.com. Before you close it, export anything you need.

We may suspend or end your access, revoke a license, or remove content if you breach these Terms or your order, if the law requires it, or if we reasonably believe it is needed to protect the Services, other users, visitors or the public. Where we reasonably can, we will tell you why. A suspended account cannot sign in, and its public pages stop working. After an account closes, we delete its content and Customer Personal Information as Section 20 and our Privacy Policy describe.

Sections 3 (for fees owed), 5, 11, 14, 16, 17, 20 (until Customer Personal Information is deleted), and 24 to 28, and any other terms that by their nature should survive, continue after your use of the Services ends.

15. Changes to the Services and these Terms

We may change, add or remove features of the Services. We may also update these Terms. We will post the updated Terms here and change the “Last updated” date, and we will tell you about material changes in advance, by email or in the Services. Changes take effect when we say they do and do not apply to disputes that arose before then. If you keep using the Services after a change takes effect, you accept the updated Terms. If you do not agree, stop using the Services.

16. Our role and disclaimers

Joatani provides software. We do not act as anyone’s real estate broker, agent, lender or fiduciary, we are not a party to any transaction between users, visitors or Sponsors, and we do not give legal, real estate, lending, tax or financial advice. Agents, brokerages, Sponsors and others you deal with through the Services are independent of us and responsible for their own services.

To the fullest extent permitted by law, the Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not promise that the Services will be uninterrupted, error-free or secure, that information or AI Output in them is accurate, or that data will not be lost. Keep your own copies of anything you need.

17. Limitation of liability

To the fullest extent permitted by law, Joatani and its affiliates, officers, employees and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill or business opportunities, arising out of or relating to these Terms or the Services, even if we were told they were possible. Our total liability for all claims arising out of or relating to these Terms or the Services is limited to the greater of the amount you paid us for the Services in the 12 months before the event giving rise to the claim and US$100.

Nothing in these Terms limits liability for fraud, willful injury, gross negligence or violation of law, or any other liability the law does not allow to be limited, including under California Civil Code section 1668.

Part B: Additional terms for agents and brokerages

18. Who Part B applies to

Part B applies if you use the Services in your business as a real estate agent, broker, team or brokerage, or as someone who works for one (a “Professional User”). If you use the Services for an organization, “you” includes the organization.

  • Licenses. You confirm that you hold, and will keep, any real estate license your activities require, and that you will tell us if your license is suspended, revoked or lapses. We may verify license information with the California Department of Real Estate or other regulators, and suspend accounts we cannot verify.
  • Supervision. If you are a salesperson, you use the Services under your responsible broker’s supervision, and your broker’s policies apply to you.
  • Order forms. If you or your organization signs an order form with us, it is part of these Terms. If it conflicts with these Terms, the order form controls, except that it cannot reduce the protections in Sections 20 and 22.

19. Open houses and visitor information

You decide what your sign-in pages ask and how you use the answers. You are responsible for collecting and using visitor information lawfully, including:

  • giving visitors the notice at collection the law requires, including a link to your own privacy policy (Joatani provides a visitor privacy notice you can link to), and responding to their privacy requests. We forward requests we receive to you, except that we may delete a visitor’s sign-ins directly at the visitor’s request, as our visitor privacy notice explains, and we will tell you when we do;
  • having the consent the law requires before you call, text or email a visitor, and honoring opt-outs (Section 21);
  • following fair housing and anti-discrimination laws, including the federal Fair Housing Act and California’s Fair Employment and Housing Act and Unruh Civil Rights Act, in the questions you ask and in how you treat visitors. Do not ask about race, color, religion, sex, gender identity, sexual orientation, marital or familial status, national origin, ancestry, disability, source of income or any other protected characteristic; and
  • following real estate licensing and advertising rules, including showing your name, license number and responsible broker where the law requires (for example, California Business and Professions Code section 10140.6 and California Code of Regulations, title 10, section 2773).

Any scores, rankings or labels the Services show are automated estimates to help you decide whom to follow up with first, not facts about a person. Do not use them to deny anyone housing, credit, insurance or any other opportunity, or in any other way the law prohibits.

If you take sign-ins on a shared device, you are responsible for the device and for supervising it. Exports, reports and other files you download leave the Services. You are responsible for protecting them and for deleting them when you no longer need them or when the law requires, including after a deletion request.

Visitor sign-ins are deleted automatically 12 months after the visitor signs in, and you can delete them sooner. Deleting a visitor or a listing is permanent. If the law or your broker requires you to keep records longer, export them before they are deleted.

20. Service provider terms

When we process personal information about visitors and others on your behalf through the Services, such as open house sign-ins (“Customer Personal Information”), we act as your service provider under the California Consumer Privacy Act (the “CCPA”). These terms apply whether or not you are a “business” under the CCPA. You disclose Customer Personal Information to us only for these limited and specified business purposes: hosting your open house and listing pages; recording visitor sign-ins and scoring them for you; generating summaries and follow-up suggestions with AI features; showing the information to you and the people you give access to; delivering the messages you send; producing the exports, reports and other materials you ask for; honoring deletion requests visitors send us directly; passing a visitor’s contact details to a named Sponsor only when the visitor asks us to; storing and backing it up; securing the Services and preventing fraud; providing support; and maintaining and improving the Services as the CCPA allows a service provider to do. We will:

  • not sell or share Customer Personal Information, and not place advertising cookies or pixels on pages that collect it;
  • not retain, use or disclose it for any purpose, including any commercial purpose, other than those business purposes, except as the CCPA otherwise permits;
  • not retain, use or disclose it outside our direct business relationship with you, and not combine it with personal information we receive from or on behalf of anyone else or collect from our own interactions with a consumer, except as the CCPA permits;
  • not use it for Joatani’s own marketing, to target Sponsor advertising, or to train AI models for anyone else;
  • comply with the CCPA and give it the same level of privacy protection the CCPA requires of businesses, including reasonable security, and limit access to personnel who need it and are bound by confidentiality;
  • help you respond to consumers’ requests under the CCPA, and act on the requests you send us, such as deleting a record;
  • notify you of a breach of the security of Customer Personal Information immediately after we discover it, as California Civil Code section 1798.82(b) requires, and give you the information reasonably needed to meet your own notice obligations;
  • tell you if we decide that we can no longer meet our obligations under the CCPA;
  • have subcontractors help us process it only under written contracts that bind them to these same obligations, give you a current list on request, and notify you at least 15 days before we add one. If you object on reasonable data-protection grounds, you may end the affected Services and receive a pro-rata refund of prepaid fees; and
  • delete it within 90 days after your account closes, or sooner at your request, unless the law requires us to keep it. You can export it before then.

You may take reasonable and appropriate steps to make sure we use Customer Personal Information in a way that is consistent with your obligations under the CCPA and, after notice to us, to stop and remediate any unauthorized use. We certify that we understand these restrictions and will comply with them. You are responsible for having the right to collect Customer Personal Information and to disclose it to us, and you will not instruct us to process it in a way that violates the law. If you need a separate data processing addendum, contact privacy@joatani.com.

21. Messages to visitors

When you send texts or emails to visitors through the Services, you are the sender and are responsible for them, including under the Telephone Consumer Protection Act, the CAN-SPAM Act and California law.

  • Get the consent the law requires before you send them. For automated marketing texts, that means prior express written consent, given through a separate, unchecked box that names you.
  • Honor opt-outs made by any reasonable means, including replies such as “STOP” or “unsubscribe,” within the time the law requires.
  • Do not send marketing texts before 8 a.m. or after 9 p.m. in the recipient’s time zone, or contact numbers on the National Do Not Call Registry unless you have consent or another exemption applies.
  • Identify yourself and your brokerage in each message, and include an unsubscribe link and your postal address in marketing emails.
  • Give us accurate information for text-messaging registration, such as 10DLC brand and campaign registration.

We may limit or block messages that we reasonably believe violate the law or carrier rules.

22. RESPA and Sponsor ads

This section applies whenever a Sponsor is involved in your use of the Services.

(a) No referral fees. You will not use the Services to give, accept or split any fee, kickback or other thing of value for referring settlement service business, or any unearned fee, in violation of Section 8 of RESPA (12 U.S.C. § 2607), Regulation X (12 C.F.R. § 1024.14) or California law, including Business and Professions Code section 10177.4, which bars licensees from accepting compensation for referring customers to escrow, title, home warranty and pest control companies. Payments between real estate brokers and agents under cooperative brokerage and referral arrangements that RESPA permits are not affected.

(b) Sponsor ads on open house pages you host. When Joatani offers Sponsor ads, they are part of the Services and appear only at the end of the open house sign-in flow, after the visitor has signed in. You cannot turn them off or choose which Sponsors appear; Joatani chooses, using the neutral criteria in Section 9. Joatani does not pay you, credit you, discount your fees or give you anything else of value because Sponsor ads appear on your pages or because visitors see, click or respond to them, and the price you pay for the Services does not depend on Sponsor ads. Sponsors pay Joatani only for advertising space, under separate written agreements (Section 9).

(c) No Sponsor arrangements of your own. You will not place a Sponsor’s name, logo or offer on pages or materials you create with the Services, or accept anything of value from a Sponsor in connection with the Services.

(d) Visitor information. You will not use the Services to give visitor information to a Sponsor or to let a Sponsor contact a visitor. A visitor’s request to be contacted by a named Sponsor goes through Joatani, not you. You will not sell visitor information to a Sponsor or anyone else.

(e) Free choice. You will not require visitors or clients to use a particular Sponsor, or suggest that Joatani recommends one.

(f) Affiliated businesses. If you refer clients to a settlement service provider in which you, your brokerage or an associate has an ownership interest, you will give the affiliated business arrangement disclosure that RESPA requires (12 C.F.R. § 1024.15).

(g) Our rights. We may remove content that we reasonably believe breaks this section. This section is not legal advice. You and your broker are responsible for your own compliance.

23. Brokerages, teams and agents who leave

  • If you use the Services through a brokerage or team organization, its owners and admins can see and manage the listings and visitor information shared with the organization (Section 4).
  • When you leave or are removed from an organization, your access through it ends. If the organization’s order form says the organization keeps the listings and visitor information its members create, we follow the order form. Otherwise, listings you own stay with you.
  • An organization that provides licenses to its members is responsible for making sure they follow these Terms.

24. Indemnity

To the extent permitted by law, if you are a Professional User, you will defend, indemnify and hold harmless Joatani and its affiliates, officers and employees from any third-party claim, including one by a visitor, client, brokerage, Sponsor or regulator, and from the related losses, damages and reasonable costs, arising out of Your Content, your collection or use of visitor information, your messages to visitors, your arrangements with Sponsors, your breach of these Terms, or your violation of law or of anyone’s rights. We will notify you promptly of any claim, let you control its defense, and cooperate at your expense. You may not settle a claim in a way that admits fault by us or imposes obligations on us without our written consent.

Part C: Disputes and general terms

25. Disputes, arbitration and class action waiver

Talk to us first. Before bringing a claim, send a written notice describing it and the relief you want to privacy@joatani.com. We will send ours to your account email. We will both try in good faith to resolve it for 60 days, and any limitation periods are paused during that time.

Arbitration. Except as described below, you and Joatani agree that any dispute, claim or controversy arising out of or relating to these Terms, the Services or our privacy practices will be resolved by binding individual arbitration, not in court. The Federal Arbitration Act governs this section. The American Arbitration Association (“AAA”) will administer the arbitration under its Consumer Arbitration Rules if you use the Services as a consumer, and otherwise under its Commercial Arbitration Rules, both available at adr.org. It will take place in the county where you live or work, or by video or phone, and for claims of US$10,000 or less you may choose to have it decided on documents alone. If you use the Services as a consumer, we will pay any filing, administration and arbitrator fees beyond what you would have paid to file in court, unless the arbitrator finds your claim frivolous, and we will pay the fees we owe within the time the law requires, including California Code of Civil Procedure sections 1281.97 and 1281.98. The arbitrator may award any individual relief a court could, and the award is final and may be entered in any court with jurisdiction. In arbitration there is no judge or jury, and review by a court is limited.

Mass filings. If 25 or more similar demands are filed against Joatani by the same or coordinated counsel, the AAA’s mass arbitration rules and fee schedules apply, and the parties will cooperate to resolve the demands efficiently, including through bellwether proceedings where the rules allow.

Exceptions. Either of us may bring an individual claim in small claims court. Either of us may go to court for an injunction against infringement or misuse of intellectual property or unauthorized access to the Services. Nothing in this section stops you from seeking public injunctive relief in court. Any claim for it will be stayed until the arbitration of the individual claims is finished.

Class action waiver. You and Joatani may bring claims against each other only individually, not as a plaintiff or class member in any class, collective, consolidated or representative proceeding, and the arbitrator may not consolidate claims or award relief to anyone else. If this waiver is found unenforceable for a claim, that claim will be decided in court, not in arbitration.

Opting out. You can opt out of this arbitration agreement by emailing privacy@joatani.com within 30 days after you first agree to these Terms, with your name, your account email and a statement that you opt out. Opting out does not affect the rest of these Terms.

If we change this section, the change will not apply to a claim either of us has already notified the other of or filed. If any part of this section other than the class action waiver is found unenforceable, the rest of it still applies.

26. Governing law and courts

California law governs these Terms and any dispute between you and Joatani, without regard to its conflict of law rules, except that the Federal Arbitration Act governs Section 25. Any claim that is not subject to arbitration will be brought in the state or federal courts located in Los Angeles County, California, and you and Joatani consent to their jurisdiction.

27. Notice to California consumers

Under California Civil Code section 1789.3, California users are entitled to the following consumer rights notice. The Services are provided by Joatani Inc., Los Angeles, California. Prices are shown when you buy. To resolve a complaint about the Services, contact privacy@joatani.com. You may also contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

28. General

  • These Terms and any order form with us are the entire agreement between you and Joatani about the Services. Our Privacy Policy and Cookie Policy explain how we handle personal information. Some features may come with additional terms we show you, and those terms apply too.
  • You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets.
  • If a provision is unenforceable, it will be limited to the minimum extent necessary and the rest of these Terms will remain in effect. Not enforcing a provision is not a waiver of it.
  • We are not responsible for delays or failures caused by events beyond our reasonable control.
  • You agree to receive notices and enter into agreements electronically. We may send you notices by email to your account address or in the Services, and you can send notices to us at privacy@joatani.com. Electronic notices satisfy any requirement that a notice be in writing.
  • You and Joatani are independent contractors, and these Terms give no rights to anyone else.
